These Terms of Service ("Terms") govern your access to and use of vendorrack.com and the services provided by VendorRack LLC ("VendorRack," "we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
VendorRack is an online directory that helps residential contractors find, compare, and connect with vendors that sell products and services to the trades. Contractors browse the directory for free. Vendors may list their business for free or purchase a paid listing for additional visibility and features.
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide and for any activity under your account. Keep your login credentials secure.
Vendors may submit a listing with business information, which we may review before publishing. We offer a free listing tier and paid tiers (currently Professional and Featured) with additional features. You are responsible for ensuring your listing information is accurate and not misleading. We may edit, decline, suspend, or remove any listing that violates these Terms or that we determine, in our discretion, is inaccurate, inappropriate, or harmful to the community.
Free listings are provided as-is and may be created from public information. If a listing represents your business, you may claim it to manage its details.
You agree not to use the Service to post false, misleading, or unlawful content; to infringe others' rights; to send spam; to interfere with or attempt to gain unauthorized access to the Service; or to scrape or harvest data without our permission.
You retain ownership of the content you submit, such as your business information and logo. You grant VendorRack a non-exclusive, worldwide, royalty-free license to host, display, and use that content to operate and promote the Service. All other content on the Service, including the VendorRack name, logo, and design, is owned by VendorRack and may not be used without our permission.
Reviews, where available, must reflect genuine experiences. You may not post fake, incentivized, or misleading reviews. We may remove reviews that violate these Terms.
VendorRack is a directory. We are not a party to, and are not responsible for, any agreement, transaction, product, or service between a vendor and a contractor. We do not endorse or guarantee any vendor, and a listing does not constitute a recommendation. You are responsible for evaluating any vendor or contractor before doing business with them.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any listing information is accurate or current.
To the fullest extent permitted by law, VendorRack and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.
You agree to indemnify and hold harmless VendorRack and its owners from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, or your violation of these Terms.
You may stop using the Service at any time. We may suspend or terminate your access or remove your listing if you violate these Terms or for any lawful reason. Sections that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Iowa, and you consent to their jurisdiction, unless otherwise required by applicable law.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect means you accept the updated Terms.
